Brett Cotler is a tax attorney at Seward & Kissel LLP in New York City.
He regularly counsels shipping companies on joint ventures, cross-border transactions, passive foreign investment company rules and the U.S. tonnage tax regime. Brett has also represented numerous shipping companies in their public offerings of equity and debt securities, as well as the underwriters of such offerings.
He regularly represents private investment funds, fund managers, technology start-ups and tax-exempt organizations on a variety of issues, including initial structuring, seed investments, portfolio investments, transactional matters, financial instruments, mergers and acquisitions, and deferred compensation structures.
Brett received his LL.M from New York University School of Law, his J.D. from Rutgers School of Law-Newark, where he was a member of the Order of the Coif, and his B.A. Phi Beta Kappa, from Rutgers University.
